By accessing or using the CryptoCheckout payment gateway services provided by Daddys Trades LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

CryptoCheckout provides a cryptocurrency payment gateway that enables merchants to accept USDC (USD Coin) payments on the Base blockchain. Our services include:

• Payment processing integration for WooCommerce and other e-commerce platforms
• Cryptocurrency-to-fiat conversion through our partnership with MoonPay
• Merchant dashboard for transaction monitoring and management
• Webhook notifications for payment status updates
• Sandbox environment for testing and development

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By using CryptoCheckout, you represent and warrant that you meet these eligibility requirements. Merchants must operate legitimate businesses and comply with all applicable laws and regulations in their jurisdiction.

4. Account Registration

To use our merchant services, you must register for an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your API keys and HMAC secrets
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Keeping your account information up to date

5. Payment Processing

Our payment processing services are subject to the following terms:

• Payments are processed in USDC on the Base blockchain network
• Transaction fees may apply as specified in your merchant agreement
• Settlement times depend on blockchain confirmation and our processing schedule
• We reserve the right to hold, reverse, or refuse any transaction that violates these Terms
• Cryptocurrency payments are generally non-refundable due to the nature of blockchain transactions

6. Third-Party Services

Our services integrate with third-party providers, including MoonPay for fiat on-ramp services. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions, content, or policies of third-party services.

7. Prohibited Activities

You agree not to use our services for:

• Any illegal activities or transactions
• Money laundering, terrorist financing, or fraud
• Sale of prohibited goods or services
• Circumventing any security measures or access controls
• Interfering with or disrupting our services or servers
• Violating any applicable laws, regulations, or third-party rights

8. Intellectual Property

All content, trademarks, and intellectual property associated with CryptoCheckout are owned by or licensed to us. You may not copy, modify, distribute, or create derivative works without our prior written consent. The WooCommerce plugin is provided under license for use with our services only.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRYPTOCHECKOUT AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OUR SERVICES.

10. Indemnification

You agree to indemnify, defend, and hold harmless CryptoCheckout and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
